Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the websites, software platforms, applications, and related technology services operated by Cirventis, Inc. (“Cirventis,” “we,” “us,” or “our”).


By accessing or using our websites or services, you agree to these Terms. If you do not agree, do not access or use them.


1. About Cirventis


Cirventis provides virtual-first healthcare technology and infrastructure that helps healthcare organizations, digital health brands, pharmacies, durable medical equipment providers, provider networks, and other authorized organizations coordinate patient intake, clinical workflows, documentation, integrations, and fulfillment-related processes.


Cirventis is a technology and healthcare infrastructure company. Cirventis is not a medical group, healthcare provider, pharmacy, laboratory, durable medical equipment supplier, insurer, or emergency service.


2. Eligibility and Authorized Use


You may use our websites and services only if you are legally capable of entering into a binding agreement and your use complies with all applicable laws.


Access to certain Cirventis platforms may be limited to authorized clients, administrative users, healthcare professionals, contractors, or other approved users. You may use those services only for the purposes permitted by Cirventis and any applicable written agreement.


If you use the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


3. Customer Agreements


Certain Cirventis services are governed by a Master Services Agreement, Software Services Agreement, Business Associate Agreement, order form, statement of work, or another written agreement.


If these Terms conflict with a separately executed agreement between Cirventis and a client, the executed agreement will control with respect to that client and the services covered by it.


Pricing, implementation requirements, service levels, payment obligations, data-processing responsibilities, and other client-specific terms will be established in the applicable written agreement.


4. Accounts and Access Credentials


You are responsible for maintaining the confidentiality of your username, password, API key, and other access credentials.


You agree to:

  • Provide accurate and current account information.

  • Restrict access to authorized users.

  • Maintain reasonable administrative and technical safeguards.

  • Notify Cirventis promptly if you suspect unauthorized access or a security incident.

  • Accept responsibility for activity conducted through your account, except to the extent prohibited by law.

  • ​

Cirventis may suspend or restrict access when we reasonably believe an account has been compromised, used unlawfully, or used in violation of these Terms.


5. Acceptable Use


You may not:

  • Use our websites or services for an unlawful, fraudulent, abusive, or deceptive purpose.

  • Access or attempt to access another user’s account or data without authorization.

  • Interfere with the security, availability, integrity, or performance of our systems.

  • Introduce malware, harmful code, automated attacks, or unauthorized data-collection tools.

  • Circumvent usage restrictions or security controls.

  • Copy, modify, reverse engineer, decompile, or create derivative works from our software except where expressly permitted by law.

  • Use our services to build, benchmark, or train a competing product without written permission.

  • Sell, sublicense, rent, lease, or provide unauthorized third-party access to our services.

  • Submit information you do not have the legal right or appropriate authorization to provide.

  • Use our services in a manner that violates healthcare, privacy, advertising, consumer-protection, or data-protection laws.

 

6. No Medical Advice or Medical Services


Cirventis does not practice medicine and does not independently diagnose, treat, prescribe for, or provide medical advice to patients.


Clinical services made accessible through Cirventis technology are provided by independent licensed healthcare professionals or provider organizations. Those healthcare professionals and organizations are solely responsible for clinical judgment, medical necessity determinations, diagnoses, treatment decisions, prescriptions, medical orders, documentation, and the professional services they provide.


The availability of a product, service, questionnaire, workflow, or provider through the Cirventis platform does not guarantee that a healthcare professional will determine that treatment, a prescription, a medical order, equipment, testing, or another service is medically appropriate.


Nothing on a Cirventis website or platform should be interpreted as medical advice or a substitute for consultation with a qualified healthcare professional.


7. Not for Emergencies


Cirventis websites and services are not intended for medical emergencies.


If you believe you are experiencing a medical emergency, call 911 or seek immediate assistance from an appropriate emergency medical provider. Do not use the Cirventis platform to send emergency communications.


8. Independent Healthcare and Fulfillment Organizations


Cirventis may facilitate connections among patients, clients, licensed healthcare professionals, provider networks, pharmacies, laboratories, durable medical equipment suppliers, and other third parties.


These parties are independent organizations and are not employees or agents of Cirventis. Unless expressly stated in a written agreement, Cirventis does not control or assume responsibility for:

  • Clinical decisions or healthcare services.

  • Prescription or medical-order approval.

  • Insurance eligibility, coverage, reimbursement, or claim payment.

  • Product availability, dispensing, shipping, or delivery.

  • The quality or suitability of third-party products and services.

  • The conduct of independent healthcare or fulfillment organizations.

 

A patient’s relationship with a healthcare professional is directly between the patient and that healthcare professional or the applicable provider organization.


9. Third-Party Services and Links


Our services may connect with or contain links to third-party websites, applications, payment processors, electronic health records, scheduling systems, communications tools, provider networks, fulfillment organizations, and other services.


Your use of a third-party service may be governed by that third party’s terms and privacy practices. Cirventis does not control and is not responsible for the availability, accuracy, security, content, or performance of third-party services.


The inclusion of a link, integration, or third-party service does not necessarily constitute an endorsement by Cirventis.


10. Privacy and Health Information


Our collection, use, and disclosure of information through our public websites are described in the Cirventis Privacy Policy.


Some Cirventis services may involve protected health information on behalf of a healthcare client. When Cirventis acts as a business associate under HIPAA, the handling of protected health information is governed by the applicable Business Associate Agreement and applicable law.


Not all information submitted to or collected through a Cirventis website is protected health information under HIPAA. Do not submit medical, patient, or other sensitive information through a general website contact form unless the form expressly requests that information and is designated for that purpose.


11. Client and User Content


You retain the rights you hold in information, records, files, instructions, configurations, and other content you are authorized to submit through our services.


You grant Cirventis the limited rights necessary to host, process, transmit, reproduce, and otherwise use that content to provide, secure, maintain, support, and improve the services, subject to applicable agreements and law.


You represent that you have all permissions, notices, consents, and legal authority required to provide the content and authorize its processing.


12. Intellectual Property


Cirventis and its licensors own all rights, title, and interest in the Cirventis websites and services, including their software, technology, workflows, interfaces, designs, graphics, documentation, trademarks, and related intellectual property.


Except for the limited right to use our websites and services in accordance with these Terms, no intellectual-property rights are transferred to you.


“Cirventis,” its logos, product names, and related marks may not be used without prior written permission.


13. Service Availability and Changes


We may update, modify, suspend, or discontinue portions of our websites or services at any time. We do not guarantee that every feature will remain available or that the services will always operate without interruption or error.


Maintenance, third-party outages, security events, internet disruptions, governmental actions, natural disasters, and circumstances beyond our reasonable control may affect availability.


Where required by an applicable client agreement, service availability and support will be governed by that agreement.


14. Disclaimer of Warranties


TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRVENTIS WEBSITES AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”


CIRVENTIS DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED IN A SIGNED WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.


CIRVENTIS DOES NOT WARRANT THAT ITS WEBSITES OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR COMPATIBLE WITH EVERY DEVICE, SYSTEM, OR THIRD-PARTY SERVICE.


Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.


15. Limitation of Liability


TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRVENTIS AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITES OR SERVICES.


FOR SERVICES PROVIDED UNDER A SIGNED CUSTOMER AGREEMENT, CIRVENTIS’S TOTAL LIABILITY WILL BE SUBJECT TO THE LIMITATIONS STATED IN THAT AGREEMENT.


FOR USE OF THE PUBLIC CIRVENTIS WEBSITE NOT GOVERNED BY A SIGNED AGREEMENT, CIRVENTIS’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).


These limitations apply regardless of the legal theory asserted and even if Cirventis has been advised that damages are possible. They do not apply where liability cannot lawfully be excluded or limited.


16. Indemnification


To the extent permitted by law, you agree to defend, indemnify, and hold harmless Cirventis and its affiliates, directors, officers, employees, contractors, and representatives from claims, damages, losses, liabilities, and reasonable expenses arising from:

  • Your unlawful or unauthorized use of the services.

  • Your material violation of these Terms.

  • Content or data you submit without sufficient authorization.

  • Your infringement or violation of another party’s rights.

 

This section does not apply to the extent a claim results from Cirventis’s own unlawful conduct.

 

17. Suspension and Termination

 

Cirventis may suspend or terminate access to its websites or services if we reasonably determine that:

​

  • You violated these Terms or an applicable agreement.

  • Your use creates a security, legal, regulatory, or operational risk.

  • Payment required under a customer agreement is overdue.

  • Suspension is necessary to protect patients, users, clients, Cirventis, or third parties.

  • Continued access is prohibited by law.

​

Termination of services provided under a customer agreement will be governed by that agreement.

 

18. Governing Law and Dispute Resolution

 

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles.


Before initiating formal proceedings, you and Cirventis agree to attempt in good faith to resolve a dispute by providing written notice and allowing at least 30 days for a response.


Except for claims eligible for small-claims court and requests for temporary or injunctive relief, disputes arising from these Terms or the public Cirventis website will be resolved through binding individual arbitration administered by JAMS in Palm Beach County, Florida.


You and Cirventis waive the right to a jury trial and agree that claims may be brought only in an individual capacity—not as a plaintiff, claimant, or class member in a class, consolidated, or representative proceeding.


If any portion of this arbitration provision is found unenforceable, the remaining enforceable provisions will continue to apply.


19. Changes to These Terms


We may update these Terms periodically to reflect changes in our services, business practices, or legal obligations.


The “Last updated” date identifies the most recent revision. Updated Terms become effective when posted unless a later date is stated. If required by law or an applicable agreement, we will provide additional notice of material changes.


Your continued use of the websites or services after revised Terms become effective constitutes acceptance of the revised Terms.


20. General Provisions


If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.


Our failure to enforce a provision is not a waiver of our right to enforce it later.


You may not assign your rights or obligations under these Terms without Cirventis’s written consent. Cirventis may assign these Terms in connection with an affiliate relationship, financing, merger, acquisition, corporate reorganization, or sale of relevant assets.


These Terms, the Privacy Policy, and any applicable signed agreement constitute the complete agreement governing the relevant subject matter.
